Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and SIA "DashLabs" ("DashLabs", "we", "us", or "our"), a Latvian limited liability company founded in 2024, registration No. 50203563401, Krišjāņa Valdemāra iela 24–5, Rīga, LV-1010, Latvia.

By installing, accessing, or using any of our Services, you agree to these Terms. If you use the Services on behalf of a company, you represent that you are authorised to bind that company, and "you" refers to that company.

"Services" means all products and services we operate, including our websites (such as dashlabs.lv and aigen.to), Aigento and related products, and all applications we publish on the Shopify App Store and other app marketplaces, together with related documentation and support.

Individual Services may have additional terms, plans, or feature descriptions presented in the relevant app listing or interface; those form part of these Terms for that Service.

The Services are intended for business use by merchants and their authorised staff. You are responsible for the accuracy of the information you provide, for maintaining the confidentiality of your credentials, and for all activity under your account or store.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for your own business purposes, subject to these Terms. You must not:

• copy, modify, reverse engineer, or create derivative works of the Services, except as permitted by law;
• resell, sublicense, or make the Services available to third parties, except as intended by the relevant Service;
• use the Services to violate any law or the rights of others, including data protection and consumer protection law;
• interfere with or disrupt the integrity or performance of the Services; or
• attempt to gain unauthorised access to the Services or related systems.

Fees for our apps are stated in the relevant app listing or interface. For Shopify apps, charges are billed through Shopify's billing system under your Shopify payment terms. Unless stated otherwise, fees are exclusive of applicable taxes, subscriptions renew automatically until cancelled, and fees are non-refundable except where required by law or expressly stated by us.

Where a free trial is offered, paid charges begin automatically at the end of the trial unless you uninstall the app or cancel the subscription before then. We may change our fees with notice effective from your next billing cycle.

You retain all rights to the data you submit to the Services or that we access from your store on your behalf ("Your Data"). You grant us the rights needed to host, process, and display Your Data solely to provide and improve the Services.

You are responsible for ensuring that:

• you have the necessary rights and legal bases to share Your Data with us, including personal data of your customers;
• your own privacy policy and consent practices reflect your use of our apps and any tracking or review-collection features you enable; and
• your use of third-party services connected through our apps (for example Google or advertising platforms) complies with those services' terms.

Our processing of personal data is described in our Privacy Policy.

The Services, including all software, design, and content provided by us, are and remain the property of DashLabs or its licensors. Feedback you provide about the Services may be used by us without restriction or obligation.

The Services depend on and integrate with third-party platforms and services, including Shopify and services you choose to connect (such as Google services or advertising platforms). We are not responsible for third-party services, their availability, or changes to their APIs, and your use of them is governed by their own terms and policies.

We work to keep the Services available and performant, but they are provided without a guaranteed service level. We may modify, suspend, or discontinue any Service or feature; where a change materially reduces a paid Service, we will use reasonable efforts to notify you in advance.

Except as expressly stated, the Services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that they will achieve any particular business result (such as conversion rates, review volumes, or performance scores).

To the maximum extent permitted by law, DashLabs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the Services or these Terms.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to the Services or these Terms is limited to the amounts you paid us for the affected Service in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for intentional misconduct or gross negligence.

You will indemnify and hold DashLabs harmless from claims, damages, and expenses (including reasonable legal fees) arising from Your Data, your use of the Services in violation of these Terms, or your violation of applicable law or third-party rights.

You may stop using a Service at any time, and for Shopify apps you can terminate by uninstalling the app. We may suspend or terminate your access to a Service if you materially breach these Terms, if required by law or a platform provider, or upon discontinuation of a Service.

Upon termination, your licence ends and we delete or anonymise Your Data as described in our Privacy Policy. Sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) survive termination.

We may update these Terms from time to time. We will post the updated version on this page and adjust the "Last updated" date above; for material changes we will provide reasonable notice. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the Republic of Latvia, without regard to conflict-of-law rules. Disputes arising out of or in connection with these Terms are subject to the exclusive jurisdiction of the courts of Rīga, Latvia, unless mandatory law provides otherwise. Nothing in these Terms limits any mandatory rights you may have under applicable consumer protection law.
